  • INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES;
  • LOSS OF PROFITS, REVENUE, GOODWILL, DATA, BUSINESS OPPORTUNITIES, OR ANTICIPATED SAVINGS;
  • PERSONAL INJURY OR PROPERTY DAMAGE ARISING FROM YOUR USE OF OUR SERVICES (EXCEPT WHERE SUCH LIABILITY CANNOT BE EXCLUDED BY LAW);
  • DAMAGES ARISING FROM UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA;
  • DAMAGES ARISING FROM CONDUCT OF ANY THIRD PARTY IN CONNECTION WITH OUR SERVICES;
  • ANY OTHER DAMAGES ARISING FROM YOUR USE OF, OR INABILITY TO USE, OUR SITE OR SERVICES.

IN NO EVENT SHALL VIA 313'S TOTAL CUMULATIVE LIABILITY TO YOU ARISING FROM OR RELATED TO THESE TERMS OR YOUR USE OF OUR SERVICES EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO VIA 313 IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).

The foregoing limitations shall apply regardless of the theory of liability (contract, tort, negligence, strict liability, or otherwise), even if Via 313 has been advised of the possibility of such damages. Some states do not allow certain limitations of liability, and in such states, our liability shall be limited to the fullest extent permitted by law.

11. Indemnification

You agree to defend, indemnify, and hold harmless Via 313, its owners, officers, directors, employees, agents, contractors, licensors, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of or inability to use our Site or services;
  • Your violation of these Terms or any provision contained herein;
  • Your violation of any applicable federal, state, or local law or regulation;
  • Your violation of any third-party rights, including intellectual property rights or privacy rights;

Subject to the dispute resolution provisions below, you agree that any legal action or proceeding arising under or related to these Terms shall be brought exclusively in the federal or state courts of competent jurisdiction in the state where Via 313 maintains its principal place of business. You hereby irrevocably consent to the personal jurisdiction and venue of such courts and waive any objection to such jurisdiction or venue on grounds of inconvenient forum or otherwise.

Our services are operated from the United States. We make no representation that the Site or services are appropriate or legally available for use in other locations. If you access our Site from outside the United States, you do so at your own initiative and are solely responsible for compliance with applicable local laws.

14. Dispute Resolution

14.1 Informal Resolution

We will use reasonable efforts to resolve the dispute within thirty (30) days of receipt of your written notice. You agree not to initiate formal proceedings until this informal resolution process has been completed or has clearly failed.

14.2 Binding Arbitration

If the dispute cannot be resolved informally, and to the fullest extent permitted by applicable law, any and all disputes, controversies, or claims arising out of or relating to these Terms, your use of our services, or any breach thereof, shall be submitted to and finally resolved by binding arbitration administered by a recognized arbitration organization (such as the American Arbitration Association "AAA") in accordance with its then-current Commercial Arbitration Rules. The arbitration shall take place in the state where Via 313 is domiciled, unless otherwise agreed by the parties. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

14.3 Class Action Waiver

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION. ALL CLAIMS MUST BE BROUGHT IN YOUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

14.4 Exceptions

Notwithstanding the foregoing, either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent irreparable harm pending resolution by arbitration. Nothing in this section shall limit either party's right to seek relief in small claims court for disputes within that court's jurisdictional limits.

Certain consumer protection statutes may provide rights that cannot be waived by contract. Nothing in these Terms is intended to limit rights that cannot be waived under applicable federal or state consumer protection law, including rights under the Federal Trade Commission Act.

15. Term and Termination

These Terms shall remain in full force and effect for as long as you use our Site or services, or maintain an account with Via 313, whichever is longer.

We reserve the right, at our sole discretion, to suspend or terminate your access to our Site and services at any time, with or without notice, for any reason, including but not limited to:

19. Force Majeure

Via 313 shall not be liable for any delay or failure in performance of our services resulting from circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, fire, floods, pandemics, epidemics, government actions or restrictions, labor disputes, power outages, internet or telecommunications failures, cyberattacks, supply chain disruptions, or other similar events ("Force Majeure Events"). In the event of a Force Majeure Event, we will make commercially reasonable efforts to notify you and resume normal operations as soon as practicable.
